Job Duties
1. To perform corporate secretarial work relating to the following: -
- Incorporation of Private Limited Companies and Businesses;
- Drafting of Directors' / Members' Resolutions;
- Drafting of Annual / Extraordinary General Meetings (AGM/EGM) documents;
- Lodgments with ACRA;
- Adoption of Customized Company Constitution;
- Lodgments of Change of Company Type;
- Maintenance of Company's Registers and Secretarial Files;
- Prepare XBRL for ACRA lodgment;
- Scrutinization of Financial Report of Companies; and
2. Any other ad-hoc corpsec assignments that you may be assigned from time to time.
3. To provide corporate advisory in ensuring compliance with the requirements of the Companies Act of Singapore and any other relevant laws with respective regulatory bodies.
4. To perform due diligence checks and routine monitoring of regulatory compliance.
5. To answer and direct incoming calls and enquiries.
Requirements:
1. Preferred 1 year of relevant experience in a corporate secretarial firm.
2. Degree or Diploma in Business Studies, Accounting or other relevant fields.
3. Holding or currently pursuing ICSA/CGI qualification or Specialist Diploma in Corporate Secretarial Practice from Temasek Polytechnic would be an advantage.
4. Proficiency in written and spoken English to handle statutory documentations.
5. Strong analytical skills, resourceful, and meticulous.
6. Able to prioritise, meet deadlines, and handle clients professionally.
7. Team player with a positive work attitude, able to multi-task and work in a fast-paced environment.
8. Must also be able to work independently and have a strong sense of responsibility and initiative.
