Role Overview
We are seeking a commercially astute and execution-oriented In-House Legal Counsel to support our renewable energy development and investment activities across Asia-Pacific.
The role will be embedded within a dynamic, growth-focused platform and will act as a key legal partner to the business, supporting project development, financing, M&A and operational matters across multiple jurisdictions.
The successful candidate will combine strong legal technical capabilities with apragmatic, solutions-driven mindset aligned with business objectives.
Key Responsibilities
1. Project Development & Commercial Contracts
- Support negotiations key project agreements, including:
- Power Purchase Agreements (PPAs)
- EPC and O&M contracts
- Land lease and concession agreements
- Provide legal support across the full project lifecycle (origination → development → construction → operations)
2. Project Finance & Investment Transactions
- Support structuring and execution of:
- Project financing (senior debt, mezzanine, concessional tranches)
- Shareholder agreements and joint ventures
- M&A transactions, including acquisitions and divestments
- Work closely with lenders, DFIs (e.g., European Bank for Reconstruction and Development, FMO), and financial advisors
3. Corporate & Regulatory
- Oversee corporate governance and compliance across APAC entities
- Advise on regulatory frameworks in key markets (e.g., Indonesia, Vietnam, Philippines, Laos, Australia)
- Manage external counsel across jurisdictions and ensure cost efficiency
4. RiskManagement & Compliance
- Identify, assess, and mitigate legal and contractual risks
- Develop and implement internal legal policies and templates
- Support compliance with anti-corruption, ESG, and regulatory requirements
5. Strategic Business Partnering
- Provide proactive, commercially focused legal advice to senior management
- Support structuring decisions from a legal and risk allocation perspective
- Contribute to investment committee materials and board-level discussions
Candidate Profile
Experience & Qualifications
- Qualified lawyer in Singapore, UK, Australia, or other common law jurisdiction
- Minimum 5 years’ post-qualification experience, preferably:
- Top-tier law firm and/or in-house at energy/infrastructure platform
- Demonstrated experience in renewable energy and project finance transactions
Technical Expertise
- Strong track record in:
- Project development contracts (EPC, PPA, O&M)
- Cross-border transactions and multi-jurisdictional legal frameworks
- Debt financing documentation and negotiations
