A senior corporate secretariat opportunity within a large, complex group environment. This role suits someone who is hands-on with governance execution, confident supporting senior boards/stakeholders, and comfortable leading a small team while keeping standards and timelines tight.

What you’ll do

Manage end-to-end corporate secretariat support across a portfolio of entities within a group

Maintain statutory books and registers, oversee statutory compliance and filings (incl. BizFile+)

Support board/committee meetings: agenda coordination, papers, minutes, action tracking

Draft clear reports and ensure decisions are communicated to relevant stakeholders

Monitor regulatory changes and translate updates into practical governance actions

Liaise with regulators and external advisers where needed

Supervise/review team output to ensure quality, accuracy, and deadlines are met

Support corp sec aspects of projects and transactions (including M&A / restructuring workstreams)

Board portal exposure helpful (Viewpoint is a plus)

What we’re looking for

CSIS qualification is essential

12+ years relevant corporate secretariat experience (group setting preferred)

Listed company experience is a strong advantage

Strong English drafting and minute-taking, organised, able to multi-task under pressure

Context
A large, internationally active group is appointing a Group Company Secretary to lead the corporate secretariat function across a complex multi-jurisdiction structure and provide close support to the Board and senior leadership.

What you’ll be accountable for

• Principal advisor on corporate governance, directors’ duties, and statutory compliance across jurisdictions

• Lead Board/Committee meetings and AGMs, including agendas, papers, minutes, and action follow-through

• Oversee statutory filings, corporate records, and governance controls across the Group (subsidiaries and JVs)

• Support group-level transactions (M&A, divestments, restructurings, JVs) from a governance/cosec perspective

• Lead, coach, and quality-control the corporate secretarial team; manage external providers where needed

• Drive best practices and optimise board/cosec systems (e.g., Viewpoint or equivalent)

• Ensure alignment with shareholder governance directives and internal policies

What they’re looking for

• CSIS qualification is essential

• Degree in Law, Business, or related discipline; legal background preferred

• 20+ years legal and corporate secretarial experience, including 10+ years in a group-level leadership role

• Proven Board/C-suite support, strong command of international governance standards, and experience with complex group structures

• High integrity, strong stakeholder management, excellent written/spoken English, comfortable with confidential and time-sensitive work, occasional travel

An international group within the commodities industry is looking to hire a legal counsel to support its trading, investment and compliance activities. This is a commercially focused role for a lawyer who is comfortable handling both transactional and contentious matters across cross-border business operations.

Key responsibilities

Advise on a broad range of trade, commercial and investment-related contracts

Review, draft and negotiate commercial agreements, transactional documents and related legal materials

Support M&A and investment matters, including due diligence and transaction support

Manage disputes arising from trade and commercial dealings, including arbitration, litigation strategy, negotiations and enforcement coordination

Oversee and manage external counsel across multiple matters

Provide guidance on compliance issues, including trade controls, competition matters and broader regulatory risk

Partner internal stakeholders on legal risk management across business activities

Support other legal and strategic matters as required

Requirements

Qualified lawyer from a common law jurisdiction

Around 8-12 years’ relevant post-qualification experience

Strong background in commodities, international trade, cross-border transactions or investment work

Experience gained in a leading law firm and/or in-house environment

Confident handling both advisory and dispute-related matters

Familiar with cross-border legal and regulatory issues, with sound commercial judgment

Able to work independently in a fast-paced environment

Open to occasional travel where required
