Job Description
- Assist in advising local & international clients on corporate and commercial law matters.
- Draft, strategiing ,review, and assist in negotiating corporate and commercial agreements, including shareholders' agreements, joint venture agreement, franchise agreement and other legal documents across different industries.
- Assist in mergers, acquisitions, disposals, and other corporate transactions, including due diligence exercises.
- Advise clients on company incorporations, resolutions, statutory filings, and corporate governance matters (where applicable).
- Conduct legal research and prepare memoranda or reports.
- Liaise with clients, regulators, and external parties under supervision.
- Support senior lawyer & Partner in transaction management and documentation.
- Ensure compliance with relevant laws, regulations, and internal procedures.
- Travel outstation to organize corporate seminar.
- Organize and manage clients onsite signing ceremony.
- Attend overseas business trip.
Qualification
- Bachelor of Laws (LLB) or equivalent from a recognised institution.
- Called to the Malaysian Bar and admitted as an Advocate & Solicitor of the High Court of Malaya.
- 1-3 years of post-qualification experience in corporate, commercial legal practice, litigation and/or conveyancing practice.
- Prior corporate and/or litigation experience in a law firm or in-house legal department is preferred.
- Exposure to corporate transactions, commercial contracts, or regulatory work will be an advantage.
- Proficient in English & Mandarin (verbal and written).
- Basic to intermediate knowledge of corporate and commercial laws and litigation
- Good drafting and legal research skills
- Strong attention to detail and organisational skills
- Ability to manage multiple tasks and meet deadlines
- Good communication and interpersonal skills
- Willingness to learn and take instructions from superior
- Plus point: Critical thinking skills & commercial sense
- Proficient in Microsoft Office and legal research database
- Team-oriented with a professional and responsible attitude
- Able to work independently & think critically
