ROLE OBJECTIVE:

The candidate should have corporate secretariate experience - ensures legal compliance, maintains corporate records, and facilitates governance by assisting in managing board meetings (agendas, minutes, materials), and liaison with regulators/ACRA, handling statutory filings, and safeguarding sensitive information, bridging administration with strategic oversight.

ROLE RESPONSIBILITIES:

1.     Board & CommitteeManagement:

• Organize meetings, prepare agendas, distribute materials, record minutes, and ensure proper documentation.
• Draft resolutions, prepare share certificates, and all corporate secretariate related matters.

2.     Legal &Regulatory Compliance:

• Ensure adherence to corporate laws, listing rules and securities regulations; manage filings and liaison with authorities (e.g. ACRA).

3.     Record Keeping &Information Management:

• Maintain statutory records, safeguard confidential documents, and ensure accuracy of corporate information.

Part 2: JOB REQUIREMENTS

• Degree in Law with at least 3 years in a law firm or in-house legal team, with experience in corporate secretarial tasks.
• Corporate Secretarial Expertise: Proficient in managing statutory registers, drafting minutes/resolutions, and filing.
• Legal Support: Ability to draft/review commercial agreements, conduct legal research, and assist with transactions.
• Ability to work in a fast paced and dynamic environment to meet aggressive deadline
• Excellent written & verbal skills
• Organized and an eye for detail
• A team player with excellent inter-personal skills and ability to communicate and influence effectively at all levels

What You Will Do

• Provide all rounded legal and administrative support to our disputes and restructuring team
• Prepare and draft legal documents, compile bundles
• Conduct legal research
• File opening, prepare engagement letters and legal papers
• Conduct conflict and KYC searches, attend to KYC- related correspondences
• Monitor deadlines, efficient file and database management
• Coordinate and prepare monthly client invoices
• Any other legal support as assigned.

What You Will Need

• Diploma in Law / Legal Studies or Degree
• 2 years of relevant experience in a law firm
• Be familiar with legal documentation
• Highly organised, resourceful, detail-oriented and able to handle multiple tasks
• Excellent oral and written communication skills

JOB DESCRIPTIONS

Adaro International (Singapore) Pte Ltd seeks Paralegal and Document Controller who is proficient to:-

• perform effective legal document management, prompt tracking, traceability, and control of Legal documents;
• perform File Opening (Control Issuance of document numbers) and File Closing processes in respect of Legal working files ;
• Manage record keeping for all agreements, corporate documents, and other documentation, including hard copy and soft copy;

• assist in the Legal and compliance affairs, perform other ad-hoc tasks, and provide administrative and operational support to the Legal team;  

• Conduct legal research and analysis
• Drafting, proofreading and reviewing standard commercial agreements, corporate resolutions and other legal documents

• Perform litigation support functions, manage record keeping and filing of litigation documents.
• Support compliance work (e.g. KYC, basic due diligence, and internal records).

Requirements:

·        Degree or Diploma in Law or Legal Studies

·        Minimum 2 years of relevant working experience. Preferably in a Law Firm or in-house role, or experience in corporate secretarial matters

·        IT savvy (MS Office, Outlook, etc)

·        Strong proficiency in English

·        Meticulous with strong initiative as well as the ability to multi-task and organize

·        Excellent task management and organisational skills with an ability to prioritise while dealing with multiple requirements simultaneously
